Pursuant to this prospectus, Alumni Capital LP and Triton Funds LP (each, a “Selling Stockholder” and together, the “Selling Stockholders”) are offering on a resale basis an aggregate of 2,227,053 shares (the “Shares”) of common stock, par value $0.001 per share (the “Common Stock”), of Biora Therapeutics, Inc., a Delaware corporation, representing Shares issuable upon the exercise of warrants to purchase up to 2,227,053 shares of common stock with a per share exercise price equal to $1.87 or $1.93, as applicable (the “Warrants”). 5,278,074 Warrants were originally issued in exchange for the Selling Stockholders’ agreement to consider acquiring, prior to January 31, 2024, up to an aggregate of $9,930,000 of shares of Common Stock. The Selling Stockholders acquired $4,215,502 in shares of Common Stock and 2,227,053 Warrants vested in proportion to the consummated acquisitions. We will not receive any of the proceeds from the sale or other disposition of the Shares by the Selling Stockholders. However, upon any cash exercise of the Warrants by the Selling Stockholders, we will receive cash proceeds per share equal to the exercise price of the Warrants. If the Warrants are exercised in a cashless exercise, we will not receive any proceeds from the exercise of the Warrants.

The Selling Stockholders may sell or otherwise dispose of the Shares in a number of different ways and at varying prices. We provide more information about how the Selling Stockholders may sell or otherwise dispose of the Shares in the section entitled “Plan of Distribution” on page 8. Discounts, concessions, commissions and similar selling expenses attributable to the sale of the Shares will be borne by the Selling Stockholders. We will pay all expenses (other than discounts, concessions, commissions and similar selling expenses) relating to the registration of the Shares with the Securities and Exchange Commission (“SEC”).

Our Company

We are a clinical-stage biotechnology company developing oral biotherapeutics that could enable new treatment approaches in the delivery of therapeutics. Our pipeline includes two therapeutic delivery platforms:

 

   

NAVICAPTM Targeted Oral Delivery Platform: Delivery of therapeutics to the site of disease in the gastrointestinal tract designed to improve outcomes for patients with Inflammatory Bowel Disease; and

We were incorporated in Delaware in January 2012 under the name Ascendant MDx, Inc., and we later changed our name in August 2013 to Progenity, Inc. We are registering the Shares for resale by the Selling Stockholders. We will not receive any proceeds from the sale or other disposition of the Shares offered by this prospectus as the Warrants were issued in exchange for the Selling Stockholders’ agreement to consider acquiring, prior to January 31, 2024, up to an aggregate of $9,930,000 of shares of Common Stock. The Selling Stockholders subsequently acquired $4,215,502 in shares of Common Stock and the Warrants vested in proportion to the consummated acquisitions. The Company is a Delaware corporation. The Company has purchased insurance policies that, within the limits and subject to the terms and conditions thereof, cover certain expenses and liabilities that may be incurred by directors and officers in connection with proceedings that may be brought against them as a result of an act or omission committed or suffered while acting as a director or officer of the Company.
